The Agrarian Cooperative societies, after years of effort for taking forward interesting managerial projects based on the production and marketing of the agrarian products of the small and medium farmers, have consolidated a strong competitive position, on some concrete markets even managing to be leaders (Vargas, 1993). To obtain the leadership there is needed a good government of the cooperative society. The government of the cooperative company takes the as of the efficiency as a purpose in the use of the assets and in the contracts that form it, to assure the creation of value for the owners of the financial resources (Cuervo, 2005). But one of the big differences betweenamong traditional capitalist companies and the agrarian cooperative societies, is the model of government: economic democracy, automanagement and an associate a vote (Chaves and Soler, 2004). The this idea of government related to the exercise of the authority in the capture of decisions that affect the interests of different groups of interest or stakeholders. Nevertheless, the classic theory of the company, inside the discipline of the Microeconomy, does not do explicit mention to the need to have definite which are to take decisions in the company. He(she) leads us to asking it to us if the Economy of market, without procedures, is efficient. If it(he,she) was like that, at the time what to worry for them. Or maybe not, and the economy of market is not everything efficient that could be. In many economic transactions ” not standardized ” the Adam’s Smith invisible hand is not capable of assigning efficiently the resources without the use of any form of authority (Zingales, 1997). The reason is that in these transactions are generated a series of benefits added, difficult to quantify, and that are not partible.
